I. INTRODUCTORY ARTICLES
1. User Regulations of WHOLESALE ONLINE` system defines rules of selling products from Bajtel Sp. z o.o via Internet in accord with trade offer available on website www.bajtel.pl, after logging in Wholesale Online.
2. SUBJECTS PRESENT IN REGULATIONS:
a. DISTRIBUTOR – SIA Bajtel.LV company with the headquarters in Riga, Latvia
b. DEALER – company registered In Latvia, Lithuania Or Estonia, which has started business relations with Bajtel (meaning: have sent necessary documents….
c. WHOLESALE ON LINE or SYSTEM –system of selling products via Internet
d. USER – a person, who has got rights to use WHOLESALE ONLINE
II. SYSTEM ACCESS RIGHT
1. Access to WHOLESALE ONLINE can be given only for DEALER, therefore an object, which fulfill demands define in part 1, point2.
2. On DEALER`s application lodge by sending a registration form from www.bajtel.pl site , DISTRIBUTOR vest defined person with rights to access to the system. Giving the access, DISTRIBUTOR assigned account and password. DEALER takes responsibility for using account and password given for User.
3. Applying for awarding access to system by DEALER means acceptation of subject-matter present regulations.
4. DEALER has right to own more than one USERS.
5. DISTRIBUTOR reserves rejection right assign access to system without giving reasons.
6. USER is treated as person accredited to work in the name of DEALER without necessity presenting any warranty in awarded access.
7. DISTRIBUTOR will inform DEALERr in writing about every change (subjective or objective) about access to SYSTEM.
8. DEALERr takes absolute liability for every USER`s operations, and because of this, USER `s duty is to inform DEALER in writing about withdrawal or limitation of access area to WHOELSALE ONLINE or irregularities in received notices in compliance with point 7 resolution. DEALER is responsible for all orders indent by USER, even if they were not realized yet. 9. DISTRIBUTOR has right to withdrawal access to SYSTEM to all DEALER`s USERS, who did not make any buying in DEALER in next 60 days or delinquent with paying invoices longer than 14 days after their due day. Withdrawal access to SYSTEM can takes place also in situation, when DEALER is competitor in view of DISTRIBUTOR.
10. Giving USER right to access to SYSTEM is synonymous with agreement for ordering receiving DISTRIBUTORS` s trade information via email. USER can resign in any moment from receiving trade information via email by choosing this option in trade information mail.
III. ORDERING
1. Contracting partie determine that order placed via Internet in WHOLEASALE ONLINE does not require confirmation by DEALER in other form and they are treated as ordered in writing. Although DISTRIBUTOR has right to verify order and refuse realization without giving reason.
2.In WHOLESALE ONLINE there are presented 2 price levels – net prices for DEALER, and suggested retail gross prices.
3. Placing an order in SYSTEM is simultaneously USER`s approval for guarantee conditions granted by Bajtel Sp. z o.o on ordered products.
4. Products data, which are presented in WHOLESALE ONLINE service has got informative character and they do not make offer implied in Civil Codex regulations.
IV TRADE SECRET
1. Information about products prices offered from DISTRIBUTOR in WHOLESALE ONLINE and their availability in this SYSTEM are intended for DEALER only for purpose connected with buying products, which are in DISTRIBUTOR`s offer.
2. DEALER and none of his USERS can not pass information, which are present in point 1, to third parties ,as well as he can not use them or convert for different that connected with buying products from DISTRIBUTOR, purposes. In case of infringement above prohibition DISTRIBUTOR can withdraw access right to WHOLESALE ONLINE for DEALER.
